These Terms of Use ("Terms") govern your access to and use of the website, products, platforms, and services provided by ASAP Tech ("ASAP Tech," "Company," "we," "us," or "our"). When you use, access, or use our website or services, you agree to be legally bound by these Terms. If you do not agree, you must not access or use our services.
If you are using our services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

Specific services may be governed by separate agreements, Statements of Work (SOW), Master Service Agreements (MSA), or Service Level Agreements (SLA). In the event of conflict, those agreements will prevail over these Terms.
You must be at least 18 years old (or the age of majority in your jurisdiction) to use our services. When you use our services, you represent that you meet this requirement.
If you create an account, you agree to provide accurate and complete information; you are responsible for maintaining the confidentiality of login credentials and all activities under your account; and you must notify us immediately of any unauthorized access or breach. We reserve the right to suspend or terminate accounts for security concerns or violations of these Terms.

All content, materials, software, technology, branding, and intellectual property associated with ASAP Tech services are owned by or licensed to ASAP Tech and are protected by applicable intellectual property laws. Unless explicitly permitted, no content may be copied, reproduced, modified, distributed, or exploited without written consent. Access to services does not grant ownership rights in any intellectual property. Client-owned data remains the property of the client, subject to applicable agreements.
Where ASAP Tech processes data on behalf of clients: the client retains ownership and responsibility for its data; represents that it has lawful rights to provide such data; we process data in accordance with applicable agreements and privacy laws; and we are not responsible for the accuracy, legality, or content of client-submitted data.
Our services may integrate with or rely on third-party platforms, hosting providers, payment processors, or software. We are not responsible for third-party service availability, terms, privacy practices, or errors or failures caused by third-party systems. Use of third-party services is subject to their respective terms.
Where services are provided for a fee: payment terms will be specified in applicable agreements or invoices; late payments may result in suspension of services; all fees are non-refundable unless otherwise agreed in writing; you are responsible for applicable taxes.
Both parties agree to maintain confidentiality of non-public information disclosed in connection with services. Confidential information does not include information that is publicly available, was lawfully known prior to disclosure, is independently developed, or is required to be disclosed by law. Confidentiality obligations survive termination of services.
TO THE MAXIMUM EXTENT PERMITTED BY LAW: services are provided "AS IS" and "AS AVAILABLE." We do not guarantee uninterrupted, error-free, or secure operation. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that services will meet specific business outcomes unless expressly agreed in writing.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASAP Tech shall not be liable for indirect, incidental, special, consequential, or punitive damages; loss of profits, revenue, data, or business opportunities; business interruption; or loss arising from unauthorized access. Our total aggregate liability for any claim arising from use of services shall not exceed the total fees paid by you in the preceding twelve (12) months, unless otherwise agreed in writing. Some jurisdictions may not allow certain limitations; in such cases, liability will be limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless ASAP Tech and its officers, directors, employees, and affiliates from any claims, damages, liabilities, losses, and expenses (including reasonable attorney's fees) arising from your misuse of services, violation of these Terms, infringement of third-party rights, or breach of applicable laws.
We may suspend or terminate access for violation of these Terms, for non-payment, for security concerns, or if required by law. Upon termination: access rights cease immediately; outstanding fees remain payable; certain provisions (liability, confidentiality, IP, indemnity) survive termination.
We are not liable for failure or delay in performance caused by events beyond reasonable control, including natural disasters, government actions, cyberattacks, infrastructure failures, and labor disputes.
These Terms shall be governed by the laws of Connecticut, without regard to conflict of law principles. The parties agree to attempt in good faith to resolve any dispute arising out of or relating to these Terms through informal negotiation for a period of thirty (30) days before initiating formal proceedings.
If the dispute is not resolved through negotiation, it shall be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator, take place in Connecticut, and be governed by the Federal Arbitration Act (FAA). The arbitrator's decision shall be final and binding and may be entered in any court of competent jurisdiction.
All disputes shall be resolved on an individual basis. The parties waive any right to participate in a class, collective, or representative action. To the extent permitted by law, the parties waive the right to trial by jury. This dispute resolution provision shall survive termination of these Terms.
We reserve the right to update these Terms at any time. Updated versions will be posted with a revised Effective Date. Continued use of services constitutes acceptance of changes.
